1. Acceptance of Terms
By downloading, installing, or using FlightBagX ("the App"), GroundStation or the FlightBagX website you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the App.
These Terms constitute a legally binding agreement between you and CartoLake, Inc. ("we," "us," or "our"). We reserve the right to modify these Terms at any time. Continued use of the App after changes constitutes acceptance of the updated Terms.
2. License Grant
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the App on devices you own or control, solely for your personal or professional aviation planning and navigation purposes.
You may not:
- Copy, modify, or distribute the App or its content
- Reverse engineer, decompile, or disassemble the App
- Rent, lease, lend, sell, or sublicense the App
- Use the App for any unlawful purpose
- Remove any proprietary notices from the App
3. User Accounts
You may be required to create an account to access certain features. You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized use
We reserve the right to suspend or terminate accounts that violate these Terms or remain inactive for extended periods.
4. Acceptable Use
You agree to use the App only for lawful purposes and in accordance with these Terms. You agree not to:
- Use the App in any way that violates applicable federal, state, local, or international law or regulation
- Transmit any advertising or promotional material without our prior written consent
- Impersonate or attempt to impersonate the Company, a Company employee, or another user
- Engage in any conduct that restricts or inhibits anyone's use or enjoyment of the App
- Introduce any viruses, trojan horses, worms, or other malicious code
5. Aviation Safety Disclaimer
The App is intended as a supplemental planning and reference tool only. The App is NOT certified for use as a primary means of navigation, and must NOT be used as a substitute for:
- Official FAA-approved navigation equipment
- Current aeronautical charts and publications
- Proper pre-flight planning using approved sources
- Certified avionics and flight instruments
- Pilot judgment and decision-making
Weather data, NOTAMs, TFRs, and other aeronautical information displayed in the App may not be current and should always be verified through official sources. Always carry current paper charts as backup.
6. Intellectual Property
The App and its entire contents, features, and functionality are owned by CartoLake, LLC. and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.
Aeronautical data including charts, procedures, and airport information are sourced from the FAA and other aviation authorities and are subject to their respective terms of use.
7. Subscription and Payments
Certain features of the App require a paid subscription. By subscribing:
- You authorize us to charge your payment method on a recurring basis
- Subscription fees are non-refundable except as required by law
- We may change subscription pricing with 30 days advance notice
- You may cancel your subscription at any time through your account settings
Free trial periods, if offered, automatically convert to paid subscriptions unless cancelled before the trial ends.
8. Data and Privacy
Your use of the App is also governed by our Privacy Policy. By using the App, you consent to the collection, use, and sharing of your information as described in our Privacy Policy.
Flight plans, routes, and other data you create within the App remain your property. We may use anonymized and aggregated data to improve our services.
9. Disclaimers
THE APP IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that:
- The App will function uninterrupted or error-free
- Aeronautical data will be accurate, complete, or current
- Defects will be corrected
- The App is free of viruses or other harmful components
10. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL CARTOLAKE, INC. BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE APP.
OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE APP SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
11. Indemnification
You agree to defend, indemnify, and hold harmless CartoLake, Inc. and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses arising out of your use of the App or violation of these Terms.
12. Termination
We may terminate or suspend your access to the App immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination, your right to use the App will immediately cease.
All provisions of the Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Delaware.
